Certification of company documents

Kent Notaries can assist you in the certification of company documents
(including certificates of incorporation, memorandums and articles of association and financial statements).

WE ARE YOUR ONE STOP SOLUTION FOR ALL YOUR NOTARIAL NEEDS

Business

When expanding or moving your business overseas, you may require a range of official company documents to be notarised for foreign jurisdictions.

Certificate of Incorporation

A Certificate of Incorporation is a legal paper which proves the legal existence of your business and certifies your ability to operate.

You may need to present a notarised copy of your Certificate of Incorporation when opening a business bank account, selling shares to investors, registering your business overseas, and applying for funding.

A Certificate of Incorporation includes the following details:

  • Registered company name
  • Registration number
  • Location of registration
  • Date of incorporation
  • Company form
  • Issuing registrar
  • Legislation under which the company is registered
  • Registrar of Companies official seal (Companies House)
  • Royal Coat of Arms

Memorandum of Association

A Memorandum of Association is a legal statement signed by all initial shareholders or guarantors at the time of formation of a company. All companies must have a memorandum in place which follows a common format and includes the following information:

  • Registered company name
  • Date of incorporation
  • Type of company
  • Legislation under which the company is registered
  • Names and signature of all initial shareholders or guarantors
  • Limited liability of shareholders or guarantors

Articles of Association

Articles of Association contain written rules agreed on by the shareholders or guarantors regarding the way a company is run, owned and governed. This also typically includes the powers and responsibilities held by the directors.

Areas identified within articles of association include how a company will pay dividends, issue shares, support voting rights and audit financial statements. While the content included in articles of association may vary across different jurisdictions, you are likely to find the following information in all articles:

  • Registered company name
  • Purpose of the company
  • Share Capital
  • Legal organisation of the company
  • Shareholder meetings

Financial statements

As financial statements contain critical and sensitive data relating to your company’s assets and transactions, it may be necessary for you to obtain a notarised copy for official purposes.
